Keller Group plc announces that at its Annual General
Meeting held on Tuesday 13 May 2003 all resolutions put
to the meeting were approved by votes on a show of hands.

Two copies of the resolutions passed as Special Business
have been submitted to the UK Listing Authority and will
be available for inspection at the UK Listing Authority's
Document Viewing Facility, which is situated at:
