("KEFI" or the "Company")

Result of General Meeting

KEFI Gold and Copper (AIM: KEFI), the gold and copper exploration and development company with projects in the Federal Democratic Republic of Ethiopia and the Kingdom of Saudi Arabia, announces that at today's General Meeting of the Company, all resolutions were duly passed.

The total votes cast on each resolution were as follows:

Note: A vote "Withheld" is not a vote in law and is not counted in the calculation of the proportion of the votes "For" and "Against" shown.

Total Voting Rights

Following the passing of the resolutions at the General Meeting today, application has been made for admission of 76,359,847 new ordinary shares of the Company ("Further Shares") to trading on AIM ("Admission") and it is expected that Admission will take place and that trading will commence at 8.00 a.m. on or around 14 December 2020. The Further Shares will rank pari passu in all respects with the existing ordinary shares of the Company.

Following Admission, the total issued share capital of the Company will consist of 2,137,925,318 Ordinary Shares each with voting rights. The Company does not hold any Ordinary Shares in treasury. Therefore, the total number of voting rights in the Company will be 2,137,925,318 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
