K3 Business Technology Group plc ('K3BTG') announces that further to the recent
listing of 66,000 new ordinary shares in relation to deferred consideration for
the acquisition of Touchline Network Television Limited ('Touchline'), announced
on 2 February 2002, Mr N A Makeham, a Director of K3BTG and previously a
shareholder of Touchline, has been allocated 21,780 shares in the Company as
part of that deferred consideration.  Mr Makeham is now interested in 965,696
shares in the Company, representing approximately 1.88 per cent. of the issued
share capital.
