Disclosure of Director/PDMR shareholdings under DTR 3.1

On 2 November 2015, following the completion of the Placing and Open Offer by the Company on 16 October 2015 and pursuant to the rules of the Company's share plans, adjustments have been made to existing awards and options granted under those plans to participants to take account of the Placing and Open Offer, on the basis described below.

The adjustments operate so as to increase the number of Ordinary Shares subject to options and awards by a factor of 1.010932 and also, in the case of the Just Retirement Sharesave Scheme, to reduce the exercise price per share by a factor of 0.989186.

The adjustments to existing awards and options held by Directors/PDMRs of the Company under each plan are set out below.

1. The Company made the following adjustments to options over Ordinary Shares granted under the Just Retirement Group plc 2013 Long Term Incentive Plan ('LTIP') to the following PDMRs:
