VOTING RIGHTS AND CAPITAL

JPMORGAN JAPAN SMALLER

('the Company')

In conformity with the Transparency Directive the Company would like to notify the market of the following:

As at 30 June 2016 the Company's share capital consists of 47,480,304 Ordinary 10 pence shares, carrying one vote each and 8,464,256 Subscription shares of 0.1 pence each with no voting rights. The Company also holds 409,500 shares in treasury. 

Therefore, as at 30 June 2016, the total number of voting rights for Ordinary shareholders in the Company is 47,070,804.

The above figure of (47,070,804) may be used by Ordinary shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Rules and Transparency Rules.
