JPMorgan Fleming Japanese Smaller Companies Investment Trust plc's capital
consists of 39,359,423 ordinary 10 pence shares with voting rights.  JPMorgan
Fleming Japanese Smaller Companies Investment Trust plc does not hold any shares
in treasury.



Therefore, the total number of voting rights JPMorgan Fleming Japanese Smaller
Companies Investment Trust plc is 39,359,423.



The above figure (39,359,423) may be used by shareholders as the denominator for
the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, JPMorgan Fleming Japanese
Smaller Companies Investment Trust plc under the FSA's Disclosure and
