                   JPMORGAN OVERSEAS INVESTMENT TRUST PLC


We would like to notify the market of the following:

JPMorgan Overseas Investment Trust plc's capital consists of 28,356,948 ordinary
25 pence shares. On a poll, every member shall have one vote for every £1
nominal share capital of which he/she is the holder.  JPMorgan Overseas
Investment Trust plc does not hold any shares in treasury.

Therefore, the total number of voting rights in JPMorgan Overseas Investment
Trust plc is 7,089,237.

28,356,948 may be used by shareholders as the denominator for the calculations
by which they will determine if they are required to notify their interest in,
or a change to their interest in, JPMorgan Overseas Investment Trust plc under
the FSA's Disclosure and Transparency Rules.
