        THE FLEMING OVERSEAS INVESTMENT TRUST PLC
                            
     REPURCHASE OF ORDINARY SHARES FOR CANCELLATION

The  Fleming Overseas Investment Trust plc announces that
today  in  the  market  they purchased  for  cancellation
210,000  ordinary shares at 541.5p per share representing
0.19% of the ordinary shares in issue.

The  number  of  shares repurchased to  date  now  totals
21,876401.

The  current  repurchase authority for 16,751,846  shares
was approved by shareholders on 26 October 1999.  To date
1,990,000   shares  have  been  repurchased  under   this
authority  which represents 1.78% of the ordinary  shares
in issue as at the date shareholder approval was granted.

The  remaining shares in issue following this  repurchase
is 110,963,599.
