   REPURCHASE OF ORDINARY SHARES FOR CANCELLATION
                          
                          
The  Fleming Overseas Investment Trust plc announces
that today  in  the  market  they purchased  for
cancellation 625,000  ordinary shares at 495.5p per
share representing 0.55% of the ordinary shares in
issue.


The  number  of  shares repurchased to  date  now
totals 20,511,401.

The  current  repurchase authority for 16,931,744
shares was  approved  by shareholders on 28 July
1999.  To  date 625,000 shares have been repurchased
under this authority which represents 0.55% of the
ordinary shares in issue as at the date shareholder
approval was granted.

The  remaining shares in issue following this
repurchase is 112,328,599.
