                         STOCK EXCHANGE ANNOUNCEMENT

               JPMORGAN FLEMING ASIAN INVESTMENT TRUST PLC


Following the Annual General Meeting of the Company, which was held yesterday,
12th February 2003, the Board is pleased to announce that all the resolutions
put to shareholders were passed, including two Special Resolutions, one allowing
the Company to make market purchases of up to 24,296,243 ordinary shares,
representing 14.99% of the Company's issued share capital, the other allowing
the Company to issue up to 8,104,000 new ordinary shares for cash, representing
approximately 5% of the Company's issued share capital.
