J.P. Morgan Private Equity Limited - Voting Rights

In accordance with rule 5.6 of the FSA's Disclosure and Transparency Rules, the Company advises that its issued share capital comprises 294,042,213 US$ Equity shares of no par value, 65,418,824 Zero Dividend Preference shares of no par value and 14,625,650 2015 Zero Dividend Preference shares of no par value. The voting rights of all these shares are identical with each share, carrying the right to one vote. The Company holds 19,490,206  US$ Equity shares of no par value and 2,051,508 Zero Dividend Preference shares of no par value shares in Treasury. 

Therefore the number of voting rights in the Company is 274,552,007 for the US$ Equity share class, 63,367,316 for the Zero Dividend Preference share class and 14,625,650 2015 for the 2015 Zero Dividend Preference share class. The voting rights of all these shares are identical with each share, carrying the right to one vote.

The above figures may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in J.P. Morgan Private Equity Limited under the Disclosure and Transparency Rules.
