REPURCHASE OF SHARES IN JOHNSON MATTHEY PLC

Johnson Matthey Plc announces that on 9 August 2001, it purchased for
cancellation 70,000 ordinary snares of Johnson Matthey Plc at a price of 1008.18
pence per share. Upon the cancellation of these shares, the number of shares in
issue will be 222,977,754.
