            Johnson Matthey Announces Changes in Responsibilities of
                              Executive Directors


Following Neil Carson's appointment as Chief Executive, Johnson Matthey
announces the following changes in the responsibilities of Executive Directors.

With effect from the 1st of August 2004, P N Hawker will assume responsibility
for Catalysts Division's Process Catalyst and Technologies (PCT) business.

Also effective from 1st August 2004, L C Pentz will assume responsibility for
the Division's Environmental Catalyst and Technologies (ECT) business.
