Share issue re option schemes

JARDINE MATHESON HOLDINGS LIMITED ('JMH')

On 25 September 2000, JMH allotted a total of 161,724 new ordinary shares
pursuant to JMH's 1995 Senior Executive Share Incentive Scheme as follows:-

1. 45,000 ordinary shares under the International Share Option Plan (1995) at
an option price of US$4.97 per share.

2. 8,754 ordinary shares under the United Kingdom Approved Share Option Plan
(1995) at an option price of US$4.97 per share.

3. 107,970 ordinary shares under the United Kingdom Unapproved Share Option
Plan (1995) at an option price of US$4.97 per share.

The shares will be registered in the name of the Scheme Trustee, Clare
Investment and Trustee Company Limited.
