JARDINE MATHESON HOLDINGS LIMITED ('JARDINE MATHESON')
DISCLOSURE OF INTERESTS - SUBSTANTIAL SHAREHOLDER

On 23 October 2000, Jardine Matheson received notification from Credit
Agricole Lazard Financial Products Bank ('CAL FP Bank') that as at close of
business on 18 October 2000, it had a beneficial interest in 21,758,764 shares
in Jardine Matheson, representing approximately 3.37% of the current issued
share capital.

The registered holder of the shares is The Central Depository (Pte) Limited.

CAL FP Bank also advised Jardine Matheson that the following entities were
deemed to be interested in the shares beneficially owned by it: Credit
Agricole Lazard Financial Products Limited, Caisse Nationale de Credit
Agricole, Three Houses Investment Company Limited, Lazard Bank Limited, Lazard
Freres and Lazard Freres & Co LLC.
