JARDINE MATHESON HOLDINGS LIMITED

3,466,716 new ordinary shares have been allotted pursuant to
the scrip dividend scheme and a further 60,000 new ordinary
shares have been allotted to the International Share Option
Plan (1995) of the 1995 Senior Executive Share Incentive
Scheme. Accordingly, an application has been made to the UK
Listing Authority for these shares to be admitted to the
Official List and to the London Stock Exchange for these
shares to be admitted to trading.  The Shares rank pari passu
with the existing issued shares of the Company.

Secretaries of the company for the period of 14  days from the
date hereof.
