Directors' shareholdings

James Halstead Group Share Option Plan (the 'Plan')

In accordance with the rules of the Plan, the Remuneration Committee has awarded
the Directors of the Company options over 10p ordinary shares ('Ordinary
Shares') as detailed below.

Geoffrey Halstead: 15,000 Ordinary Shares at an exercise price of 512.5 pence
Mark Halstead: 15,000 Ordinary Shares at an exercise price of 512.5 pence
Gordon Oliver: 15,000 Ordinary Shares at an exercise price of 512.5 pence

The date of the grant is 3 May 2005 and the period of exercise is between the
third and the tenth anniversary from the date of the grant.
