DIRECTOR/PDMR SHAREHOLDING - Purchase of Ordinary Shares (the 'Shares') in Phytopharm plc (the 'Company') by Directors of the Company under its employee Share Incentive Plan (the 'SIP').

The SIP trustee, Equiniti Share Plan Trustees Limited (the 'Trustee'), notified the Company on 12 May 2008 that the following Directors of the Company acquired Shares under the SIP on 7 May 2008, in each case, held by the Trustee:

*The number of Shares acquired includes 544 Partnership Shares purchased by each of these Directors at 23 pence and 544 Matching Shares issued to each of these Directors under a Block Listing arrangement. Both partnership and matching elements are registered in the name of the Trustee.

The SIP operates as follows:

Each month the Trustee uses participants' contributions (which may not exceed £125 per participant per month) to purchase shares in the market. These shares are called 'Partnership Shares'.

At the same time the Company allots to participants via the Trustee one 'Matching Share' for every Partnership Share purchased that month. These Matching Shares vest with the employee three years from the date of issue.
