                             Maintenance of Listing

On 3 February 2004, ITV plc announced that it had applied for the cancellation
of the listing of 6,000,000 Carlton Exchangeable Capital Securities of US$25 per
security (the 'Securities') on the Official List and to the London Stock
Exchange for the cancellation of the admission to trading of the Securities on
the London Stock Exchange's market for listed securities, in each case expected
to take effect on 3 March 2004. It has subsequently been decided to retain the
listing of the Securities and the Company has now withdrawn its de-listing
application.
