                              Listing Application

Further to the announcement by the Company of the acquisition of Friendsreunited
Holdings Limited (the 'Acquisition'), application has been made to the UK
Listing Authority for the listing of, and to the London Stock Exchange for
admission to the Official List of, 20,946,061 ordinary shares of 10 pence each
fully paid, ranking pari passu with the existing ordinary shares of the Company.
Such shares have been issued to certain vendors as part of the consideration for
the Acquisition.
