ITV plc (the "Company")

On 28 March 2014 certain directors and executives were granted awards over ordinary shares of the Company under the ITV Deferred Share Award Plan ("DSA").  The awards were based on the achievement of performance targets under Annual Bonus arrangements in respect of the period from 1 January 2013 to 31 December 2013.

Directors and PDMRs of the Company received awards as restricted shares as set out below.  Under the rules of the DSA the shares will not release until 28 March 2017.
