                             De-listing Application

Application has been made to the UK Listing Authority for the cancellation of
the listing of 6,000,000 Carlton Exchangeable Capital Securities of US$25 per
security (the 'Securities') on the Official List and to the London Stock
Exchange for the cancellation of the admission to trading of the Securities on
the London Stock Exchange's market for listed securities, in each case expected
to take effect at 8.00 a.m. on 3 March 2004, being 20 business days following
this application. The ITV plc board has decided to de-list the Securities
following the merger of Granada plc and Carlton Communications Plc to create ITV
plc as it does not believe that there would be significant benefit from
retaining their listing.
