                                 Result of EGM



The Company announces that at an extraordinary general meeting of the Company
held earlier today, the resolution to reduce the Company's Share Premium Account
to £nil, subject to confirmation from the Court, was passed.



The date of the Court hearing is expected to be 26 June 2002.  If the Court
confirmation is given, the share premium reduction is expected to take place
shortly thereafter.
