                            Director's shareholding

As  stated  in  the  circular  to shareholders  dated  3  February  2000  (the
'Circular'),  Richard  Lascelles, a director of  the  Company,  has  given  an
irrevocable  undertaking to subscribe for 42,763 Rights Shares.   The  Company
received  notification yesterday that Mr Lascelles sold  those  Rights  Shares
which  are  not  subject to his irrevocable undertaking, i.e.  100,329  Rights
Shares (nil paid), on 3 March 2000, at 125p per share.


As  stated in the Circular, therefore, following the Rights Issue Mr Lascelles
will be interested in 100,000 Ordinary Shares (representing 1.35 per cent.  of
the Company's issued share capital, assuming all Rights Shares are taken up in
full), having taken up the remainder of his Rights Shares.
