In conformity with the Transparency Directive's transitional provision 6 ITIS
Holdings plc would like to notify the market of the following:

ITIS Holdings plc's capital consists of 100,620,099 ordinary shares of 2p each.
ITIS Holdings plc holds 2,177,215 ordinary shares in Treasury.

Therefore, the total number of voting rights in ITIS Holdings plc is 98,442,884.

The above figure (98,442,884) may be used by shareholders as the denominator for
the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, ITIS Holdings plc under the
FSA's Disclosure and Transparency Rules.
