ITIS Holdings PLC 11 October 2002 11th October 2002 ITIS HOLDINGS ANNOUNCES NEW FIVE YEAR CONTRACT WITH AA ROADWATCH ITIS Holdings plc (ITIS) today announces a new five year contract with Automobile Association Developments Limited, part of Automobile Association Limited (AA), to exclusively operate existing commercial information services under the AA Roadwatch brand and exploit new opportunities for selling and marketing traffic information. This commercially important development, should be of substantially greater value to ITIS than the three year agreement signed between the parties on May 24th which is now superceded by the new contract. ITIS gains exclusive access to AA Roadwatch information for use in telematics and telephone services and will take over related AA Roadwatch contracts and the corporate data sales customer base. These include short dial traffic information services which are provided to cellular network operators. ITIS will be able to build upon its new ownership of these telephone based traffic information services, by expanding its business into this important growth area of telematics. ITIS will also supply floating vehicle data to AA Roadwatch to add to the information in their radio and television traffic and travel bulletins. The new contract provides ITIS with a secure, long-term revenue stream, which will significantly enhance Group revenues with immediate effect. The nature of the transaction is such that following initial set up costs the contract will have a positive impact on ITIS' cash flow. ITIS' cash balances stood at £17.1m as at 31st March 2002. The AA will continue to research and collate comprehensive information on traffic and travel across the UK, supplying this direct to radio and television audiences and through its website, www.theAA.com. Key highlights of the new contract are: • ITIS and the AA have signed a 5 year agreement; • ITIS will operate AA Roadwatch's existing telephone-based traffic information services as well as corporate Roadwatch data sales outside of the broadcast media. In addition, ITIS will develop new services using the AA Roadwatch brand. ITIS has exclusive rights to the AA Roadwatch information in these markets; • ITIS will acquire the AA's technology for the delivery of automated telephone traffic information services to AA members and other mobile network subscribers.; • From November 24th, ITIS will combine its Floating Vehicle Data (FVD) with information collected at the AA's Roadwatch traffic centers as previously planned; • ITIS will be entitled to collect FVD from the AA's fleet of 3,600 patrol vehicles; • ITIS will provide its RDS TMC dynamic traffic information service to all AA patrol vehicles; • The AA has agreed to evaluate the opportunities to market NavTrak, ITIS' stolen vehicle tracking system, potentially opening up a considerable marketing and distribution network; • The AA will continue to research and collect comprehensive traffic and travel information across the UK; • The AA will continue to provide traffic information and bulletins across a wide range of radio and television stations and on its website.
