ITIS HOLDINGS PLC (the 'Company')


Holding in Company

On 10th December 2004, the Company was informed by Peder Smedvig Capital AS
('Smedvig') that, as at that date and following the purchase of 500,000 ordinary
shares of 2p each in the company (' Ordinary Shares'), Smedvig had an interest
in 11,145,212 Ordinary Shares representing approximately 11.58 per cent of the
Ordinary Shares in issue.

Smedvig is represented on the board of the Company by John Hewett, a non-
executive director. Mr Hewett holds 150,000 Ordinary Shares.
