Notice regarding the Annual General Meeting

 

Irish Residential Properties REIT plc (the "Company") confirms that, as previously announced, its 2020 Annual General Meeting ("AGM") will be held at 10:00 a.m. (Dublin time) on Wednesday 27 May 2020 at the Company's registered office at South Dock House, Hanover Quay, Dublin 2, Ireland.

 

Unfortunately, it will not be possible for shareholders to attend the AGM as a result of the extension of the emergency measures announced by the Irish Government on 27 March 2020 requiring people to stay at home and restricting public gatherings to limit the spread of Coronavirus (COVID-19).  The AGM will proceed with the minimum necessary quorum of three shareholders which will be facilitated by the Company.

 

Voting:

 

Shareholders' contributions at the AGM are valued and shareholders are encouraged to participate by submitting a proxy form and appointing the Chairman of the AGM as their proxy to ensure their vote counts at the AGM. Proxy voting can be carried out in advance of the AGM through one of the following options:

 

· electronically at www.eproxyappointment.com; or

· by submitting the form of proxy by post; or

· via the CREST System if you hold your shares in CREST.

Proxies must be received by no later than 10:00 a.m. on 25 May 2020.

Questions:

To facilitate shareholder communication, we remind shareholders who wish to submit questions relating to items on the agenda of the AGM in accordance with their rights under Irish law, that they are invited to do so in advance by emailing companysecretary@iresreit.ie . Questions must be received no later than 10:00 a.m. on 25 May 2020. All correspondence should include sufficient information to identify a shareholder on the Register of Members, for example, a shareholder reference number, which is an 11 digit unique identifier printed on the proxy form. The answers to such validly posed questions will be posted on our website at www.iresreit.ie .

Shareholders may listen to the proceedings of the AGM remotely by teleconference.

AGM Results:

All resolutions at the AGM will be decided on a poll and the results of the poll will be published on the Company's website at www.iresreit.ie   as soon as possible after the conclusion of the AGM.
