ATTRIBUTABLE INTERESTS IN THE ORDINARY SHARE CAPITAL OF INVESTEC PLC

As part of the dual listed company structure, Investec plc and Investec Limited
notify both the London Stock Exchange and the JSE Limited of those interests
(and changes to those interests) of (i) directors of both entities and the
respective company secretaries, (ii) persons discharging managerial
responsibilities (PDMRs) across the group, and (iii) in certain instances the
directors of major subsidiaries of Investec Limited, in the securities of
Investec plc and Investec Limited which are required to be disclosed under the
Disclosure Rules of the United Kingdom Listing Authority (the 'UKLA') and/or the
JSE Listing Requirements.

Accordingly the following changes to attributable interests in the ordinary
shares of Investec plc are disclosed:


Investec plc Share Matching Plan 2005

 

Investec plc confirms that four directors were granted awards under the Investec
Share Matching Plan 2005 (the 'Incentive Plan'). The transactions have been
notified in accordance with Disclosure Rules 3.1.4R(1)(a) and 3.1.4R(1)(b).

 

The Incentive Plan was approved by shareholders at the Company's Extraordinary
General Meeting held on Monday, 14th November 2005.

 

The awards under the Incentive Plan comprise conditional entitlements to a
number of Matching Shares, taking the form of nil cost options over Investec plc
ordinary shares, as set out in the table below. The awards are made subject to
performance conditions.
