Voting Rights and Capital

In accordance with the requirements of the Transparency Directive Transitional
Provision 6 Intertek Group plc is notifying the market that as at 28 December
2006 it has in issue 156,383,938 ordinary 1p shares, all of which have voting
rights.

156,383,938 may be used by shareholders as the denominator for their
calculations to determine whether they are required to notify their interest in,
or a change in their interest in, Intertek Group plc under the FSA's Disclosure
and Transparency Rules.
