                           Directors share sale


Richard Nelson, CEO of Intertek, has sold 1.7m shares, half of his shareholding
in the Company.  He has agreed with the Board to continue as CEO until the AGM
in May 2005 at the earliest. Mr Nelson has also agreed not to sell any more
shares for at least a year.



Bill Spencer, Finance Director of Intertek, has sold 348,000 shares, 40.5% of
his shareholding in the Company. He has agreed not to sell any more shares for
at least a year.
