Dividend Declaration

The IBM Board of Directors today declared a regular quarterly cash dividend of 
$.14 per common share, payable March 9, 2002 to stockholders of record 
February 8, 2002. IBM stock will be traded ex-dividend on the New York Stock 
Exchange starting February 6, 2002.

IBM also announced that its next annual meeting will be held April 30, 2002 at 
the Kentucky International Convention Center in Louisville, Kentucky, for 
stockholders of record as of March 1, 2002.
