INTERMEDIATE CAPITAL GROUP PLC ('ICG PLC')

TOTAL VOTING RIGHTS

In conformity with the UK Financial Services Authority Disclosure and Transparency Rules (DTR 5.6.1R), we would like to notify the market of the following:

As a result of ICG PLC's recent Rights issue, the total number of voting rights in Intermediate Capital Group PLC is 382,817,313. This figure does not include the shares that were not taken up under the offer (the 'Rump'). Acquirers have been found for the Rump and these shares will be allotted in the forthcoming days. ICG PLC will further announce the final post-Rights issue total number of voting rights in due course.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, ICG PLC under the FSA's Disclosure and Transparency Rules.
