Intermediate Capital Group PLC 06 February 2008 NOT FOR RELEASE, DISTRIBUTION OR TRANSMISSION, DIRECTLY OR INDIRECTLY, IN OR INTO THE UNITED STATES, AUSTRALIA, CANADA, JAPAN OR THE REPUBLIC OF SOUTH AFRICA Wednesday, 6 February 2008 Intermediate Capital Group PLC - Placement of the Rights Issue Rump Following the announcement earlier today that Intermediate Capital Group PLC ('ICG') had received valid acceptances in respect of 15,026,335 New Ordinary Shares, representing approximately 96% of the total number of New Ordinary Shares offered to shareholders pursuant to the 2 for 9 rights issue announced by ICG on 10 January 2008 (the 'Rights Issue'), ICG now announces that, in accordance with the arrangements set out in Part III of the Rights Issue prospectus dated 11 January 2008 (the 'Prospectus'), subscribers have today been procured for the remaining 643,047 New Ordinary Shares for which valid acceptances were not received, at a price of 1,575 pence per share. The net proceeds from the sale of these New Ordinary Shares amounting, after deduction of the Rights Issue price of 1,150 pence per share and relevant costs, to approximately 421 pence per share, will be paid to shareholders who have not taken up their entitlements, pro rata to their lapsed provisional allotments save that amounts of less than £5 will not be paid to such persons but will be aggregated and retained for the benefit of ICG. As a result of the sale of these shares, neither the underwriters nor the sub-underwriters will be required to subscribe for any New Ordinary Shares. The Rights Issue was underwritten by J.P.
