AGM and PROXY FORMS NOTIFICATION

Intermediate capital group announces the PUBLICATION OF THE ANNUAL REPORT FOR
THE YEAR TO MARCH 2011

In accordance with Listing Rule 9.6.1 R, the Company wishes to announce that the
AGM  Notice  and  the  Form  of  Proxy  have  been  sent to the National Storage
Mechanism    ("NSM") and    will   shortly   be   available   for   viewing   on
www.hemscott.com/nsm.do.  The Annual Report and Accounts were sent to the NSM on
the 6  June 2011 and are also available to view at www.hemscott.com/nsm.do.  The
Annual  Report and Accounts, and the AGM Notice are available on the ICG website
www.icgplc.com.   On the 17 June 2011 the Annual  Report and Accounts, notice of
AGM  and Proxy Forms have been posted to  those shareholders who have elected to
receive them in hardcopy form.
