                                 AWARD OF OPTIONS


On 3 July 2002, Intercede Group plc granted to Andrew Walker, Finance Director
of the Company, an option to subscribe for up to 240,000 ordinary shares of 25p
each at an option exercise price of 40.5p per ordinary share. No performance
conditions are attached to this option. The option will vest and become
exercisable over a period of four years from grant, and will expire on 2 July
2012.
