                               AWARD OF OPTIONS

On 25 May 2001, Intercede Group plc granted to Andrew Walker, Finance Director
of the Company, an option to subscribe for up to 88,889 ordinary shares of 25p
each at an option exercise price of 87.5p per ordinary share. The option is
subject to performance conditions relating to revenue growth and share price
targets. The option will vest and become exercisable over a period of four
years from grant, subject to achievement of the performance targets, and will
expire on 24 May 2011.
