                          Ingenta plc (the 'Company')

The Company has been notified that in order to satisfy institutional demand,
Publisher Services Limited together with other vendors of Catchword Limited have
sold 3,878,562 ordinary shares of 5p each ('Ordinary Shares') on 16 May 2002 at
150p (representing 6.5 per cent. of the issued share capital) and no longer have
an interest in the Company.

In addition, The University of Bath sold 3,000,000 Ordinary Shares on 23 May
2002 at 152.5p (representing 5.0 per cent. of the issued share capital) and
subsequently remains interested in 2,000,000 Ordinary Shares (representing 3.3
per cent. of the issued share capital), and 966 Corporation Inc., a company
controlled by Mr Ward Shaw, a Non-executive Director of the Company, sold
200,000 Ordinary Shares at 153p on 24 May 2002.
