Delyn Group PLC (to be renamed ingenta plc) (the 'Company')-
Completion of the acquisition of ingenta Limited
The Company announced on 27 April 2000 the proposed reverse
acquisition of ingenta Limited ('ingenta') by way of public
offer (the 'Offer').
The Company is now pleased to announce that by 3.00pm
yesterday, 25 May 2000 it had received valid acceptances in
respect of a total of 1,328,360 ingenta shares, representing
97.9 per cent. of the issued share capital of ingenta, under
the Offer. Subject only to admission of the new ordinary
shares to trading, the Offer is now declared unconditional in
all respects and has been declared closed.
The Company is today acquiring all remaining ingenta shares
pursuant to the provisions of the articles of association of
ingenta.
Martyn Rose, Mark Rowse, David Callcott, David Embleton and
Ward Shaw, the existing directors of ingenta, have joined the
board of the Company and the former directors of the Company,
Guy Naggar, Ralph Elman, Malcolm Braun, Timothy Hockings,
Peter Klimt, Peter Lazard and Dr. John Norris have each
resigned.
The Company also confirms that the Concert Party, as defined
in the circular to shareholders issued by the Company dated 27
April 2000, have become entitled, in aggregate, to 15,569,895
ordinary shares in the Company and options over up to
1,668,574 ordinary shares in the Company representing, in
aggregate, up to 36.7 per cent of the Company's enlarged
issued share capital.
Dealings in the new ordinary shares of the Company issued
under the placing and for the acquisition of ingenta, are
expected to commence today, 26 May.
