Dealings by Directors

On 19 March 2008, Infoserve Group Plc (the 'Company') announced that options over 145,000 ordinary shares of 5p each ('Ordinary Shares') had been granted to David Balbi, a former director of the Company, the exercise of which would be satisfied by transfers of Ordinary Shares, at nil consideration, from three of the Company's directors, Steve Barnes, Derek Oliver and David Hood. These options have now been exercised and, accordingly, on 27 July 2009, the following share transfers took place for nil consideration:

In addition, pursuant to a compromise agreement entered into with David Balbi on 3 March 2009, on 13 July 2009 David Balbi exercised his right to require Steve Barnes and David Hood to purchase the Ordinary Shares transferred to him by each of them at a price of 22p per share (being the approximate market price of the Ordinary Shares on the date of the compromise agreement). Following these transactions, which took place on 28 July 2009, the shareholdings of Steve Barnes and David Hood are as follows:
