NOTIFICATION OF TRANSACTIONS BY DIRECTORS / PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY
The Company announces that on February 19, 2016 it made conditional awards ('Awards') over ordinary shares of US$0.10 in the Company ('Shares') under the terms of the Indivior Long-Term Incentive Plan (the 'LTIP') to a number of persons discharging managerial responsibilities ('PDMRs').

The vesting of the Awards is subject to the rules of the LTIP and is conditional upon continued employment and the achievement of performance conditions. The performance conditions applicable to the Awards are based on (1) key pipeline milestones; (2) Relative Total Shareholder Return ("TSR") to the TSR of the constituents of the FTSE250 (excluding investment trusts); and (3) Relative TSR to the TSR constituents of the S&P1500 Pharmaceutical and Biotech Index (one-third weighting for each measure).
The number of Shares under Award that will vest will depend upon the extent to which the performance conditions have been achieved.
No consideration was payable on the grant of the Awards. The Awards will normally vest on the third anniversary of the Award date.
