Inchcape PLC 4 January 2002 Letter to Company Announcements Office Section 198 - Companies Act 1985 By way of notification pursuant to paragraph 9.11, chapter 9 of The Listing Rules, we submit copies of notifications received from Barclays Bank plc. You will note that the notifications are dated 23rd November 2001, 24th December 2001 and 27th December 2001 respectively. This is because the notifications were incorrectly addressed and we have only received the faxed version today. As at close of business on 3rd January 2002, Inchcape plc's issued share capital was 77,473,225. Letter from Inchcape plc Letter to Inchcape PLC 23 November 2001 Companies Act 1985 ('The Act') - Part VI I hereby inform you that as of the date of this letter Barclays PLC, through its subsidiary Barclays Bank PLC, has a notifiable interest in the capital of your Company of 10%. Details of this interest, together with a breakdown between registered holders (as required by Section 202(3) of the Act), are set out on the schedule below. The issued capital of 77,465,046 is the latest figure available to us. If this is incorrect, please let me know. It may be helpful If I clarify for you how the current interest has come about. On 20 November, when we last notified you of our interest of 5.62% we did additionally hold 3,206,867 shares on a non-material basis but as our total shareholding, including the shares held non-materially, totalled less than 10% of your issued capital, the non-materially held shares were not disclosable (s 199 Companies Act 1985). Our total holdings at that date - both material and non-material - amounted to 9.76%. As at today's date, although there has been only a small increase in materially held shares - to 5.69% - the non-material holding has increased to 4.31%. As the total shareholding now amounts to 10% the non-materially held shares become disclosable, hence this letter. I hope that this helps to explain the apparent large increase in our shareholding.
