                 Inchcape plc - Directors' Interests in Shares

On 8 February 2005, Mourant & Co. Trustees Limited, as trustee of the Inchcape
Employee Trust (the 'Trust') transferred 23,285 Ordinary Shares of 150p each in
the Company to an individual exercising Options granted under the Inchcape 1999
Share Option Plan.

As potential beneficiaries under the Trust, each executive director of the
Company, being Peter Johnson, Alan Ferguson and Graeme Potts, is treated as
being interested in all shares held by the Trust.
