                 Inchcape plc - Directors' Interests in Shares


On 15 December 2003, Mourant & Co. Trustees Limited, as trustee of the Inchcape
Employee Trust (the 'Trust') transferred, 109,962 Ordinary Shares of 150p each
in the Company to individuals on the release of deposited shares held under the
terms of the Inchcape Deferred Bonus Plan, and the exercise of awards granted
under the Inchcape Deferred Bonus Plan.

As potential beneficiaries under the Trust, each executive director of the
Company, being Peter Johnson, Alan Ferguson and Graeme Potts, is treated as
being interested in all shares held by the Trust.
