                 Inchcape plc - Directors' Interests in Shares


On 30 May 2003, Mourant & Co. Trustees Limited, as trustee of the Inchcape
Employee Trust (the 'Trust') transferred 2,919 Ordinary Shares of 150p each in
the Company to an individual exercising an option granted under the Inchcape
1999 Share Option Plan.

As potential beneficiaries under the Trust, each executive director of the
Company, being Peter Johnson, Alan Ferguson and Graeme Potts, is treated as
being interested in all shares held by the Trust.
