                  Inchcape plc - Director's Interest in Shares


On 4 November 2005, Mourant & Co. Trustees Limited, as trustee of the Inchcape
Employee Trust (the 'Trust') transferred 4,661 Ordinary Shares of 150p each in
the Company to an individual exercising options granted under the Inchcape
Deferred Bonus Plan.



As potential beneficiaries under the Trust, each executive director of the
Company, being Peter Johnson, Andre Lacroix and Graeme Potts, is treated as
being interested in all shares held by the Trust.
