                  Inchcape plc - Director's Interest in Shares


On 13 October 2006, Halifax EES Trustees International Limited, as trustee of
the Inchcape Employee Trust (the 'Trust') transferred 62,341 Ordinary Shares of
25p each in the Company to satisfy exercises of Executive Share Options and
Deferred Bonus Plan Awards.

As potential beneficiaries under the Trust, each executive director of the
Company, being Andre Lacroix and Barbara Richmond, is treated as being
interested in all shares held by the Trust.
