                  Inchcape plc - Director's Interest in Shares

On 18 April 2006, Mourant & Co. Trustees Limited, as trustee of the Inchcape
Employee Trust (the 'Trust') transferred 6,215 Ordinary Shares of 150p each in
the Company to individuals exercising options granted under the Inchcape 1999
Share Option Plan.

As potential beneficiaries under the Trust, each executive director of the
Company, being Andre Lacroix, Graeme Potts and Barbara Richmond, is treated as
being interested in all shares held by the Trust.
