Transaction in Own Shares and Rule 2.9 Announcement

Impellam, a connected group providing global workforce and specialist recruitment solutions and the 7th largest MSP worldwide, announces that it has made the following purchases of ordinary shares of 1 pence each in the capital of the Company ("Ordinary Shares") to be cancelled pursuant to the Share Purchase Plan announced on 8 July 2022.

The Company will make further announcements in due course following the completion of any further purchases pursuant to the Share Purchase Plan.

 

Following cancellation of the Ordinary Shares purchased, the number of Ordinary Shares in issue and admitted to trading on AIM will be reduced to 45,027,211(1). This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.

 

The Company announced on 12 April 2022 that it had entered into an offer period. The Ordinary Shares are relevant securities of Impellam Group plc for the purposes of Rule 8 of The City Code on Takeovers and Mergers (the "Code"). In accordance with Rule 2.9 of the Code, Impellam therefore confirms that it now has in issue 45,027,211 Ordinary Shares with voting rights(1). The Company has no Ordinary Shares held in Treasury. The International Securities Identification Number for Impellam Ordinary Shares is GB00B8HWGJ55.

 

In accordance with Article 5(1)(b) of Regulation (EU) No 596/2014 (the Market Abuse Regulation), the schedule below contains detailed information about the purchases made by Canaccord Genuity Limited on behalf of Impellam.

(1)   As previously disclosed in the announcement of the Company's preliminary results for the year ended 31 December 2022, released on 30 March 2023, there was an administrative oversight concerning technical compliance with the Companies Act 2006 in respect of certain share repurchases effected by the Company between 27 January 2023 and 30 March 2023. As a result, the repurchase and cancellation of, in aggregate, 94,822 Ordinary Shares (the "Void Shares") is void and the Void Shares remain technically in issue, although the voting rights which attach to them are not capable of being exercised by any person. The Company is taking steps to resolve this issue and obtain the cancellation of the Void Shares, which will involve a capital reduction to be approved by the High Court (the "Capital Reduction"). As the Capital Reduction has not yet become effective, the Company's issued share capital and voting rights set out in this announcement still include the Void Shares. Any further announcements released pursuant to Rule 2.9 of the Code prior to the Capital Reduction becoming effective and the cancellation of the Void Shares will also include the Void Shares.
