Block Listing Application and Issue of Equity
The Board announces that on 23 March 2020, Impax Environmental Markets plc (the "Company")  issued 132,000 ordinary shares of 10p nominal value (the "New Ordinary Shares") at a price of 246.00p per share, representing a premium to the prevailing net asset value. It is intended that the New Ordinary Shares will be issued pursuant to the Company's proposed new block listing. Applications have been made to the Financial Conduct Authority and to London Stock Exchange plc for 7,547,853 ordinary shares of 10p nominal value to be admitted to the premium segment of the Official List and to trading on the Main Market of the London Stock Exchange by way of a block listing. Shares will be issued under the block listing to satisfy continuing demand that cannot be met in the secondary market, and the proceeds of such share issuance will be used for investment in accordance with the Company's investment policy. The shares subject to the block listing are expected to be admitted to the Official List and to trading on the London Stock Exchange on 26 March 2020. The issue of the New Ordinary Shares is conditional upon admission.
On the assumption that the block listing comes into effect on 26 March 2020, the Company's issued share capital as of that date will consist of 225,869,355 ordinary shares; and the total number of ordinary shares with voting rights in the Company will be 225,869,355 (with each ordinary share entitling the holder to one vote). This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules. For the purposes of the FCA's Disclosure Guidance and Transparency Rules, the Company's Home Member State is the United Kingdom.
